MEETING ANNOUNCEMENT
August
23, 2008
As has been announced, the Professional Paddlesports
Association, Inc. d/b/a the Paddlesports Industry
Association (“PIA”) and the Trade Association of
Paddlesports (“TAPS”) are proposing to combine. A
special meeting of the PIA membership to discuss the
unification and to vote on the proposal is scheduled for
October 23, 2008.
The meeting will be held at the Comfort Inn
Conference Center, 630 Donaldson Road, Erlanger, KY
41018, phone 589-727-3400. Rooms can be reserved for $50
+ tax by calling the hotel and booking under the group
code "PIA."
The process for combining the two associations has
some additional steps. First, the boards of the PIA and
TAPS will review a proposed budget and work plan for the
new organization. The boards will then vote on taking
the next step forward. If the boards approve of those
documents, the second step will be votes by each
organization's membership. As a member of the
association, we will mail you a budget for the new
organization, additional pertinent details, and a
ballot, at least 30-days prior to the special meeting.
You may vote by mailed in ballot, or in person at the
special meeting.

The following is a summary of the fundamental terms
of the combination:
· The combined entity (the “Unified
Organization”) will hold all of TAPS’ assets and
liabilities, all of PIA’s assets, other than its
insurance subsidiary known as RIA and its interest in
Paddlesports Publishing, Inc., and certain PIA
liabilities.
· All members of both existing
organizations will be issued memberships in the
Unified Organization, valid through the expiration of
their existing memberships in PIA and TAPS.
· At the time of closing the
transaction, the name of the Unified Organization will
be changed to a mutually acceptable name.
· The closing of the transaction
is intended to occur on or about November 30, 2008.
There is quite a lot of work to be completed by both
the staff and boards of the two associations between now
and the votes. The unification will be described in more
detail as the boards of PIA and TAPS work out the
details in the coming weeks and prior to the membership
vote. Please keep an eye on your mailbox for additional
details and your ballot.
